Terms of Use for the NCM App

Last updated: 9 October 2026

These Terms of Use (“Terms”) govern your use of the NCM mobile app (the “App”). They form the end user licence agreement between you and NANGA SYSTEMS GmbH. Please read them before you start a subscription.

§ 1 Scope and provider

  1. The App is provided by NANGA SYSTEMS GmbH, Königstraße 27, 70173 Stuttgart, Germany, registered with Amtsgericht Stuttgart under HRB 750 626, VAT ID DE297537569, email info@nangasystems.com, phone +49 800 800 1007 (“NANGA”, “we”, “us”).
  2. These Terms apply to consumers within the meaning of § 13 BGB and to businesses within the meaning of § 14 BGB, unless a provision states otherwise.
  3. The purchase of subscriptions is additionally governed by the terms of the app store you buy through (Apple App Store or Google Play). For Enterprise licences, the individual licence agreement with your organisation takes precedence over these Terms.
  4. Conflicting or deviating terms of users do not apply, even if we do not expressly object to them.

§ 2 What the App does

  1. The App is a mobile client for PTC Codebeamer. Depending on your edition, it lets you view, create and edit content on a Codebeamer server you have access to, for example trackers, items, boards, wiki pages, reviews and test runs.
  2. NANGA provides the App only. We do not provide Codebeamer itself, a Codebeamer server, user accounts, hosting or storage of your content. To use the App you need a compatible iOS or Android device, an internet connection, access to a Codebeamer server with its REST API enabled, and valid credentials from the operator of that server. The App may not work with every Codebeamer version or server configuration.
  3. Content you see in the App comes directly from your Codebeamer server. We have no influence on that content, its accuracy or its availability, and we are not responsible for it.
  4. PTC and Codebeamer are trademarks of PTC Inc. or its subsidiaries. The App is a product of NANGA. It is not a PTC product and is not provided or supported by PTC.

§ 3 Editions, free trial and subscriptions

  1. Downloading the App is free. Its features are unlocked by an edition: Basic, Professional and Power User are available as subscriptions through the app stores; Enterprise is available through a direct licence agreement (§ 4). The features and price of each edition are shown in the App before you buy.
  2. You buy a subscription through the App Store or Google Play. Payment, invoicing and taxes are handled by the store operator under its terms. The prices shown in the store at the time of purchase apply.
  3. Subscriptions run for one year. They renew automatically for another year unless you cancel at least 24 hours before the end of the current period. Your store account is charged for the renewal within the 24 hours before the current period ends. You can cancel and manage your subscription in your App Store or Google Play account settings. Deleting the App does not cancel a subscription.
  4. New subscribers may be offered a free trial, as shown in the store before purchase. The store decides who is eligible. Unless you cancel at least 24 hours before the trial ends, it converts into a paid subscription. If you buy a subscription during a trial, any unused part of the trial ends.
  5. Price changes for existing subscriptions follow the procedures of the respective store. You will be informed in advance and, where the store or the law requires it, asked for your consent.
  6. You can upgrade or downgrade between editions through the store. Billing and any proration follow the store’s rules.
  7. Refunds are handled by the store operator under its refund policy. Your statutory rights, in particular a consumer’s right of withdrawal, remain unaffected and are exercised towards the store operator in accordance with its terms.
  8. A subscription is tied to your App Store or Google Play account, not to a Codebeamer account or server. You can restore it on another device with the same store account using Restore purchases.

§ 4 Enterprise licences

  1. Enterprise licences are sold directly by NANGA under a separate licence agreement with your organisation. A licence key is valid only for the Codebeamer server names it was issued for and for the term stated in it.
  2. The licensee may make the licence key available only to its own authorised users, such as employees and contractors working on its behalf. The licence key is confidential. It must not be published or passed on to third parties.
  3. When a licence expires or does not match the connected server, the Enterprise features are no longer available. A store subscription, if any, continues to apply.

§ 5 Licence to use the App

  1. Subject to these Terms and, for paid features, an active subscription or Enterprise licence, NANGA grants you a non-exclusive, non-transferable and non-sublicensable right to install and use the App for its intended purpose on devices you own or control, within the usage rules of the respective app store.
  2. You must not:
    • copy, modify, distribute, rent or lend the App, except as permitted by mandatory law
    • decompile or reverse engineer the App, except as permitted by §§ 69d and 69e UrhG
    • bypass edition checks, licence verification or other technical protection measures
    • use the App to overload, attack or gain unauthorised access to any server
    • use the App in breach of applicable law or of the licence terms that apply to your Codebeamer server
  3. The App contains open source software. Those components are subject to their own licence terms, which take precedence for those components and are listed in the App.
  4. All other rights in the App remain with NANGA and its licensors.

§ 6 Your responsibilities

  1. Only use Codebeamer servers and accounts that you are authorised to use, and follow your organisation’s rules, for example its policies on mobile devices.
  2. Keep your device and credentials secure. Use a screen lock, preferably a revocable Codebeamer API token instead of your password, and sign out on shared devices. If your device is lost, inform the operator of your Codebeamer server.
  3. Changes you make in the App, such as creating, editing, moving or deleting items, take effect directly on the Codebeamer server. You are responsible for the content you create or change and for its consequences. Check your entries before saving.
  4. Only connect to Codebeamer servers over an encrypted HTTPS connection.

§ 7 Reviews, electronic signatures and regulated processes

  1. Where the App lets you vote on reviews or sign them electronically, it passes your input, including credentials you enter again for a signature, directly to your Codebeamer server. The signature record is created and stored by Codebeamer according to the configuration of that server.
  2. Whether such signatures and records meet legal or regulatory requirements, for example 21 CFR Part 11, EU GMP Annex 11, ISO 26262 or IEC 62304, depends on the configuration, processes and validation of your organisation. Unless agreed otherwise in writing, NANGA does not warrant that the App on its own meets such requirements. Organisations that use the App in regulated environments are responsible for assessing and validating it for that use.

§ 8 Availability, updates and changes

  1. We work to keep the App available and compatible with supported Codebeamer versions. We cannot guarantee uninterrupted availability. The availability of your Codebeamer server, your network and the app stores is outside our control.
  2. We provide updates, including security updates. For consumers, we provide the updates required to keep the App in conformity with the contract for the period required by law (§ 327f BGB). Please install updates promptly. If we have informed you that an update is available and what happens if you do not install it, and you do not install it within a reasonable time, we are not liable for a defect that results solely from the missing update. This does not apply if the update was not installed because our installation instructions were wrong.
  3. We may change the App for a valid reason, for example technical progress, changes to the Codebeamer API, legal requirements or security, provided the change is reasonable for you and causes you no additional cost. If a change impairs your access to or use of the App more than insignificantly, we will inform you in advance in clear terms. Consumers may then terminate the contract free of charge within 30 days of the change (§ 327r BGB).
  4. We may discontinue the App with at least three months’ notice. From that notice, we stop offering new subscriptions and renewals in the stores. A subscription that has already been paid for remains usable until the end of its current period. If we cannot keep it usable until then, we refund the unused part of the price paid. Your statutory rights remain unaffected.

§ 9 Support

You can reach our support at info@nangasystems.com. Enterprise customers receive support as set out in their licence agreement. If you send us diagnostic logs, we process them as described in the privacy policy.

§ 10 Defects

  1. For consumers, the statutory rights for digital products apply (§§ 327 et seq. BGB).
  2. For businesses, the statutory rights apply. Claims for damages are subject to § 11.
  3. Your Codebeamer server, its content and third-party services (§ 12) are not part of our performance.

§ 11 Liability

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee.
  2. In cases of slight negligence, we are liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that is foreseeable and typical for this type of contract.
  3. Any further liability is excluded.
  4. These limitations also apply to the personal liability of our employees, representatives and vicarious agents.
  5. Your content is stored on your Codebeamer server, not in the App. Backing it up is the responsibility of the server operator.

§ 12 Third-party services

The App works together with services we do not control: your Codebeamer server, the App Store and Google Play, and, for Enterprise push notifications, the push services of Apple and Google. Links in Codebeamer content may lead to third-party websites. The terms and privacy policies of those providers apply to their services. We are not responsible for their content or availability.

§ 13 Term and termination

  1. These Terms apply for as long as you use the App. You can stop using the App at any time by uninstalling it. A store subscription must be cancelled separately in your store account (§ 3).
  2. The term of a subscription follows § 3. The term of an Enterprise licence follows the licence agreement.
  3. The right of either party to terminate for good cause remains unaffected. Good cause for us exists in particular if you bypass licence checks or use the App to attack or overload servers.
  4. When your subscription or licence ends, your right to use the paid features ends. You can keep the App installed, but those features will be locked.

§ 14 Changes to these Terms

  1. We may change these Terms with effect for the future if there is a valid reason, in particular new features, changes in the law or case law, or security requirements.
  2. We will inform you of changes in the App before they take effect. Changes to the main obligations, such as the scope of an edition or its price, require your express consent.
  3. For other changes, we will ask you to accept the new Terms in the App. If you do not accept them, you can keep using the App under the previous Terms until the end of your current paid period. After that, the paid features are only available once you accept the new Terms. You can cancel your subscription in your store account at any time so that it does not renew.

§ 15 Additional terms for the Apple App Store

If you obtained the App from the Apple App Store, the following also applies:

  1. These Terms are concluded between you and NANGA only, not with Apple Inc. (“Apple”). NANGA, not Apple, is solely responsible for the App and its content.
  2. Your licence is limited to using the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
  3. NANGA is solely responsible for maintenance and support of the App. Apple has no obligation to provide any maintenance or support.
  4. NANGA is responsible for any product warranties, whether express or implied by law, to the extent they are not effectively excluded. If the App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are NANGA’s responsibility, subject to these Terms.
  5. NANGA, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims under consumer protection, privacy or similar legislation.
  6. If a third party claims that the App or your possession and use of it infringes that third party’s intellectual property rights, NANGA, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
  7. You confirm that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Questions, complaints or claims regarding the App can be sent to NANGA using the contact details in § 1.
  9. You must comply with applicable third-party terms when using the App, for example the terms of your mobile data provider.
  10. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple has the right to enforce them against you as a third-party beneficiary.

§ 16 Google Play

If you obtained the App from Google Play, the Google Play Terms of Service also apply. Google is not a party to these Terms and is not responsible for the App.

§ 17 Consumer dispute resolution

NANGA is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

§ 18 Final provisions

  1. These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with your habitual residence in another country, the mandatory consumer protection provisions of that country remain unaffected.
  2. If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from these Terms is Stuttgart, Germany. We may also bring an action at your general place of jurisdiction.
  3. If any provision of these Terms is or becomes invalid, the remaining provisions remain effective. The statutory provisions apply in place of the invalid provision.
